Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (“you”, “your”, or “Customer”) and Aeon, Inc. (“Aeon”, “we”, “our”, or “us”), a Delaware corporation, governing your access to and use of the Aeon virtual-staging platform, the public marketing pages at this domain, the customer dashboard, all underlying APIs, and any related services we offer (collectively, the “Services”). By creating an account, signing in, or otherwise accessing the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an Aeon account, clicking a button affirming your acceptance, or otherwise accessing or using the Services, you represent that (a) you have read and understand these Terms, (b) you have the legal capacity to enter into a binding contract in your jurisdiction, and (c) if you are accessing the Services on behalf of an organization, brokerage, or other legal entity, you have authority to bind that entity to these Terms. If you are accessing the Services on behalf of a brokerage or team, “you” refers both to you individually and to that entity, and the entity agrees to be jointly and severally liable for your use of the Services.

We may update these Terms from time to time as described in Section 13 (Changes to Terms). Your continued use of the Services after a revised version becomes effective constitutes acceptance of the revised Terms.

2. Description of the Services

Aeon is a software-as-a-service platform that helps real-estate professionals create AI-staged photographs, three-dimensional virtual tours, walkthrough videos, and AI-search-ingestible public listing pages from photographs and three-dimensional scans of real properties. Core capabilities include:

  • Same-room AI staging. Image-to-image generation that adds virtual furnishings to a photograph of an empty room while preserving the room’s geometry, fixtures, and structural features.
  • Empty ↔ Staged disclosure. Every listing carries both the unfurnished source photograph and the staged version, exposed via a mandatory toggle on public listing pages and surfaced through the platform APIs.
  • Multi-room interactive tours. Equirectangular panorama generation for room-by-room navigation, with hotspot connectivity inferred from the captured floor plan.
  • Walkthrough videos and voiceover. Optional generated walkthrough video and TTS narration assembled from the staged tour.
  • MLS publication. RESO Web API export to supported MLS providers; Aeon does not warrant that any particular MLS will accept any particular listing.
  • Public AI-search-ingestible listing pages. JSON-LD structured-data payloads with citation anchors designed to be ingested by AI answer engines.

We may add, remove, or modify features at any time. We will give reasonable notice of material reductions in functionality for paid plans.

3. Account Registration and Eligibility

To use most features of the Services you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your magic-link tokens and any credentials issued to you, and for all activity occurring under your account.

You represent that you are at least 18 years of age and that your use of the Services will not violate any law applicable to you, including laws governing the practice of real estate, fair housing, advertising, and consumer protection. Aeon reserves the right to refuse service, terminate accounts, or remove content at any time at its sole discretion.

4. Subscriptions, Billing, and Refunds

Paid plans are billed monthly in advance through our payment processor (currently Stripe, Inc.). By subscribing you authorize Aeon and Stripe to charge the payment method you provide for the recurring subscription fee plus any applicable taxes. You are responsible for keeping your payment method current; failure to do so may result in suspension of paid features.

Plan tiers, included quotas (number of listings per month, included video tours, etc.), and pricing are described on the pricing page. Quotas reset at the start of each billing cycle and do not roll over. Usage beyond your plan’s quota may be subject to overage charges, charged at our then-current rate, or may result in throttling or suspension of additional generation requests.

Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel at any time through the Stripe customer portal accessible from the dashboard; cancellation takes effect at the end of the current billing cycle, and you will retain access to paid features until that point. Except where required by law, all fees are non-refundable.

5. Intellectual Property

As between you and Aeon, Aeon owns all right, title, and interest in and to the Services, including the underlying software, models, model weights derived from training, documentation, and the Aeon brand. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. No other rights are granted by implication, estoppel, or otherwise.

The Aeon name, the Aeon wordmark, and the Aeon visual identity are trademarks of Aeon, Inc. You may use the Aeon name to factually describe your use of the Services (e.g., “staged with Aeon”) but may not use the Aeon marks in a way that suggests endorsement, partnership, or sponsorship without our prior written consent.

6. User-Generated Content and Virtual Staging Disclosure

You retain ownership of the photographs, scans, floor plans, and other materials you upload to the Services (“Customer Content”) and of the AI-generated outputs created from your Customer Content (“Generated Content”). By submitting Customer Content you grant Aeon a worldwide, royalty-free, non-exclusive license to host, process, transmit, transform, and display the Customer Content as needed to operate the Services and to provide the Generated Content to you. We do not use Customer Content to train third-party generative models without your explicit written consent.

You represent that you have all rights necessary to upload the Customer Content, including consent from any persons depicted, copyright clearance from any photographer, and any authorizations required by the property owner or listing brokerage. You are solely responsible for the accuracy and legal status of your Customer Content.

Virtual staging disclosure obligations. The Services produce AI-staged imagery. Aeon’s outputs are designed to embed disclosure metadata (a visible “AI-Staged” footer band on PNG deliverables, an iTXt PNG metadata chunk, and a JSON-LD aeon:disclosure field on public listing pages), and Aeon’s public listing pages expose a mandatory Empty ↔ Staged toggle. You agree (a) not to modify, remove, or obscure these disclosures; (b) to comply with all state and federal disclosure rules applicable to virtual staging in the jurisdictions where you list property; and (c) to follow the National Association of REALTORS® (NAR) Code of Ethics, Article 12, in your use of Generated Content. 7. Prohibited Uses

You agree not to use the Services to:

  • Generate imagery that misrepresents the physical geometry, dimensions, or structural features of a real property — including the addition, removal, or relocation of walls, doors, windows, or rooms.
  • Generate imagery of a property without the legal right to do so, including without consent from the property owner or listing brokerage where required.
  • Remove, modify, or obscure any disclosure metadata, visible footer, JSON-LD field, or compare-toggle disclosure exposed by the Services.
  • Violate any applicable real-estate law, fair-housing regulation, advertising rule, MLS rule, or NAR standard, or use the Services to engage in discriminatory advertising prohibited by the federal Fair Housing Act or any state or local equivalent.
  • Reverse engineer, decompile, or attempt to extract the source code, model weights, or trade secrets underlying the Services.
  • Submit content that contains malware, exploits, or any other malicious code, or attempt to probe, scan, or test the vulnerability of the Services.
  • Resell, sublicense, or otherwise commercially redistribute the Services or any Generated Content outside the scope of your account’s authorized use.

8. Third-Party Services and Subprocessors

The Services rely on third-party subprocessors to deliver functionality, including (without limitation) Stripe, Inc. (payment processing), Resend, Inc. (transactional email), Decor8AI (AI image generation), Blockade Labs (panorama generation), Replicate (model hosting), fal.ai (model hosting), Runway and ElevenLabs (where used), Cloudflare (CDN, edge caching, R2 object storage), and Supabase (database hosting). Use of the Services is also subject to those subprocessors’ terms. We update the list as subprocessors change; see our Privacy Policy for the current inventory.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. AEON DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT GENERATED CONTENT WILL BE ACCURATE, COMPLIANT WITH ANY PARTICULAR LAW OR MLS RULE, OR ACCEPTED BY ANY MLS; OR THAT DISCLOSURE METADATA WILL SURVIVE DOWNSTREAM PROCESSING BY THIRD-PARTY PHOTO EDITORS, MLS INGESTION PIPELINES, OR SOCIAL-MEDIA PLATFORMS.

AEON IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. THE DISCLOSURE POLICY AND PER-STATE DISCLOSURE LANGUAGE WE SHIP IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR ADVICE FROM YOUR OWN COUNSEL. YOU ARE SOLELY RESPONSIBLE FOR LEGAL COMPLIANCE IN YOUR JURISDICTION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEON’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE FEES YOU PAID TO AEON IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT WILL AEON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS THE FOREGOING LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Aeon and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your Customer Content; (b) your use of any Generated Content, including its publication, distribution, or submission to any MLS or listing portal; (c) your violation of any applicable law, regulation, or third-party right; or (d) your breach of these Terms. Aeon reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with our defense.

12. Termination

You may terminate your account at any time by cancelling your subscription through the Stripe customer portal or by contacting us. We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including (without limitation) your breach of these Terms, suspected fraudulent or unlawful activity, or our reasonable belief that your use of the Services presents a risk to other customers or third parties. Sections 5, 6 (last paragraph), 7, 9, 10, 11, 14, and 15 will survive termination.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable advance notice by email to the address on file or by posting a notice in the Services. The “Last updated” date at the top of this page reflects the most recent revision. Your continued use of the Services after a revised version becomes effective constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.

15. Miscellaneous

These Terms, together with our Privacy Policy and our Disclosure Policy, constitute the entire agreement between you and Aeon regarding the Services and supersede all prior or contemporaneous agreements. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms at our discretion. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
